Huddlestock Fintech AS – Implementation of the purchase of Dtech AS and share capital increase.

Reference is made to the stock exchange announcement from Huddlestock Fintech AS (“Huddlestock”) published on 23 February 2023 announcing the acquisition of the company Dtech AS. The agreement was executed on 30 March 2023.
Upon completion of the agreement, the board of Huddlestock has decided to issue 828,706 new shares in Huddlestock to the sellers of Dtech AS in a directed issue with the shares in Dtech AS as a contribution in kind. The private placement was carried out with a subscription price of NOK 2.4134 per share.
